Fourel — Terms and Conditions

1. Who we are
Fourel (the "Service", "Fourel", "we", "us", "our") is a product of A Company That Sells Everything LLC, a free zone company established in Sharjah Media City (Shams), formation number 2322712, registered at Shams Business Center Open Space, Sharjah, United Arab Emirates.

2. Acceptance
By creating a Fourel account, connecting a WhatsApp number to Fourel, or otherwise using the Service, you ("you", "Client") agree to these Terms and Conditions ("Terms"), to our Privacy Policy, and to any additional terms we present for specific features. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" means that entity.
3. What Fourel does — message access and processing
This section describes the core function of the Service. Read it before connecting any WhatsApp number.
Fourel is an AI assistant that operates inside WhatsApp on your behalf. To do this, Fourel reads message content. Specifically:
3.1 Listened chats. Fourel reads and processes all messages — inbound and outbound, including message text, attachments, media, captions, contact cards, location shares, timestamps, and sender and recipient identifiers — in every chat you have designated for Fourel to listen to ("Listened Chats"). Fourel reads the full contents of those chats, not selected excerpts, and continues to do so for as long as the chat remains designated, until you remove the designation or disconnect the number.
3.2 Newly initiated chats and automatic engagement. Fourel additionally reads and processes new inbound conversations that you have not individually designated, where the first inbound message is semantically classified by Fourel as demonstrating buyer behaviour (for example, an enquiry about availability, price, viewing, booking, or purchase). Where a new conversation is classified this way, it becomes a Listened Chat and the whole of Section 3.1 applies to it from that point forward. Classification is automated and may produce false positives; a conversation may be classified as demonstrating buyer behaviour when it does not.
3.3 Support access. Where you request support assistance, Fourel support personnel may access the contents of your Listened Chats, including message content, in order to diagnose and resolve the issue you have raised. Access is limited to personnel who need it for that purpose, is logged, and is subject to confidentiality obligations. You may withdraw a support request at any time, in which case access ceases.
3.4 No end-to-end encryption between you and Fourel. WhatsApp's end-to-end encryption protects messages in transit between chat participants' devices. It does not prevent an application that you have authorised to operate your account from reading messages once they arrive. Fourel is such an application. Message content in Listened Chats is decrypted and processed on Fourel's infrastructure and by Fourel's third-party AI processing providers. Do not use Fourel on any number through which you receive information you are not willing to have processed in this way.
3.5 Third parties in your chats. The people you exchange messages with in Listened Chats have not agreed to these Terms. Their message content is nonetheless read and processed by Fourel. Your obligations in relation to those people are set out in Section 5.
4. Your account and connected numbers
4.1 You must be at least 18 years old and legally capable of entering into a binding contract.
4.2 You are responsible for all activity conducted through your account and through any WhatsApp number you connect to Fourel, including activity conducted by Fourel automatically on your instruction.
4.3 You must have the right to connect each number you connect. Connecting a number you do not control or are not authorised to operate is a material breach.
4.4 You must keep your credentials confidential and notify us promptly of any suspected unauthorised access.
5. Your obligations regarding the people you message
This section is the core of the bargain. Fourel provides the technology; you are responsible for the lawfulness of using it against the people in your chats.
5.1 You are the controller. In relation to the personal data of the people you exchange messages with, you determine the purposes and means of processing. Fourel acts on your instructions as a processor. Where required, a data processing agreement forms part of these Terms (see Section 15).
5.2 Notice and legal basis. You are responsible for establishing a valid legal basis for the processing Fourel performs on your behalf, and for informing the people you message that their conversations with you are read and processed by an automated AI assistant, and that a human support team may access them. Where your jurisdiction requires consent for automated processing of communications content, you are responsible for obtaining it.
5.3 AI disclosure. Where required by applicable law — including but not limited to Article 50 of Regulation (EU) 2024/1689 (the EU AI Act) — you are responsible for disclosing to the people you message that they are interacting with an AI system.
5.4 Platform rules. You are responsible for your own compliance with the WhatsApp Terms of Service, the WhatsApp Business Solution Terms, the WhatsApp Business Messaging Policy, and Meta's related policies as they apply to you, including any restrictions on automated and AI-assisted messaging. We make no representation that your use of Fourel is permitted under those documents, and your obligations under them are between you and Meta.
5.5 Sensitive content. You must not use Fourel to process special-category or sensitive personal data (including health, biometric, financial account, religious, political, or sexual-life data) unless you have an appropriate legal basis and have notified us in writing in advance.
5.6 Prohibited use. You must not use Fourel to send unsolicited bulk messages, to impersonate any person, to harass, defraud, or deceive, to conduct surveillance of individuals, to process communications you are not a party to, or in breach of any applicable law.
6. Availability and dependency on WhatsApp
6.1 Fourel operates on infrastructure controlled by Meta Platforms, Inc. and its affiliates. We do not control that infrastructure. Meta may change, restrict, suspend, or terminate access to it at any time, including in ways that disable Fourel entirely or that result in restriction or termination of your WhatsApp account.
6.2 We are not liable for any suspension, ban, rate limit, or loss of access applied by Meta or WhatsApp to you or to us, or for any consequence of it, including loss of message history, contacts, or business.
6.3 The Service is provided without any uptime commitment unless a separate written service level agreement is in force.
7. AI outputs
7.1 Fourel generates outputs using large language models. Outputs may be inaccurate, incomplete, outdated, or inappropriate, and may misclassify conversations or intent.
7.2 Outputs are not professional advice. They are not legal, financial, tax, medical, or real-estate valuation advice, and must not be relied upon as such.
7.3 You are responsible for reviewing outputs before acting on them and for any message Fourel sends on your behalf. A message sent by Fourel from your number is your message.
7.4 We make no representation that outputs are unique. Similar outputs may be generated for other clients.
8. Intellectual property
8.1 Ours. We retain all right, title, and interest in the Service, including software, models, prompts, configurations, interfaces, and documentation. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service, and nothing more.
8.2 Yours. You retain all right, title, and interest in your message content and other materials you or your contacts provide ("Client Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Client Content solely to the extent necessary to provide, secure, and support the Service.
8.3 Outputs. As between you and us, you own the outputs Fourel generates for you, subject to your compliance with these Terms.
8.4 Model training. We do not use Client Content to train or fine-tune general-purpose AI models, and we contractually require our AI processing providers not to do so. Where we wish to use Client Content to improve the Service, we will do so only on aggregated or de-identified data, or with your separate written consent.
8.5 Feedback. You grant us an unrestricted, perpetual right to use feedback and suggestions you provide, without obligation to you.
9. Fees
9.1 Fees, billing period, and currency are as stated in your order form or on our pricing page at the time of subscription.
9.2 Fees are payable in advance and, except where required by law, are non-refundable.
9.3 We may change fees on not less than 30 days' written notice, effective at your next renewal.
9.4 Overdue amounts may accrue interest and may result in suspension.
10. Suspension and termination
10.1 You may terminate at any time by cancelling in-product or by written notice. Termination takes effect at the end of the then-current billing period.
10.2 We may suspend or terminate immediately if you breach these Terms, if your use creates legal or security risk to us or to third parties, if required by Meta or by law, or if fees are unpaid.
10.3 On termination we cease processing, disconnect your numbers, and delete or return Client Content in accordance with the Privacy Policy.
10.4 Sections 5, 7, 8, 11, 12, 13, and 16 survive termination.
11. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud.
12. Limitation of liability
12.1 To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, goodwill, business, or data.
12.2 Our aggregate liability arising out of or in connection with these Terms is limited to the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
12.3 The limitation in 12.2 does not apply to our breach of confidentiality obligations or to our liability for our own breach of applicable data protection law. [Decision point — see delivery notes.]
13. Indemnity
You will defend, indemnify, and hold harmless A Company That Sells Everything LLC, its officers, employees, and agents from and against any claim, liability, loss, and reasonable expense (including legal fees) arising out of or relating to:
(a) your breach of these Terms; (b) your failure to provide notice, obtain consent, or establish a legal basis as required by Section 5; (c) any claim by a person you exchanged messages with concerning the processing of their communications; (d) your breach of the WhatsApp or Meta terms and policies; (e) Client Content, and any message sent from your connected numbers.
14. Changes to these Terms
We may amend these Terms. We will give not less than 30 days' notice of material changes by email and in-product. Continued use after the effective date constitutes acceptance. If you do not accept, your remedy is to terminate before the effective date.
15. Data protection
Our processing of personal data is described in the Fourel Privacy Policy, which forms part of these Terms. Where you are established in, or offer services to individuals in, the European Economic Area or the United Kingdom, the Fourel Data Processing Agreement at fourel.dev/dpa applies and is incorporated by reference.
16. Governing law and disputes
16.1 These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Sharjah, without regard to conflict of laws principles. [Decision point — see delivery notes.]
16.2 The courts of Sharjah, United Arab Emirates have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
16.3 Nothing in this Section deprives a consumer of the protection of mandatory provisions of the law of their country of habitual residence.
17. General
17.1 Entire agreement. These Terms, the Privacy Policy, and any order form constitute the entire agreement and supersede prior discussions.
17.2 Assignment. You may not assign without our written consent. We may assign to an affiliate or in connection with a merger or sale of assets.
17.3 Severability. If any provision is held unenforceable, the remainder continues in effect.
17.4 No waiver. Failure to enforce is not a waiver.
17.5 Notices. Notices to us: privacy@fourel.dev, with a copy to A Company That Sells Everything LLC, Shams Business Center Open Space, Sharjah Media City, Sharjah, United Arab Emirates. Notices to you: the email on your account.
17.6 Language. These Terms are executed in English. Where a translation is provided, the English version prevails in the event of conflict, except where applicable law requires otherwise.
